1. Binding Offers and Good Faith Negotiations
All offers and counter-offers made via DomainAgents are legally binding during the negotiation process and must be conducted in good faith. Agreements are binding through the completion of the transaction. 2. Service and Escrow Fees
Agreements reached via DomainAgents are subject to a service fee, starting at 10% and decreasing based on agreement size. Unless otherwise stated by DomainAgents, the service fee and associated escrow fees are the responsibility of the domain buyer.3. Offer Presentation Guarantee
If DomainAgents cannot present the buyer's offer to the domain owner for any reason, DomainAgents will provide the buyer with a complimentary DomainAgents credit, usable for a subsequent offer. 4. Completion of Services
DomainAgents' service is considered fully delivered upon presentation of the buyer's initial offer. 5. Valuation Estimates
Any valuation estimate provided or implied by DomainAgents is based on current market information and should be used as a guideline only. DomainAgents cannot guarantee these valuation estimates. 6. Legal Rights Representation
The buyer confirms that neither they nor their organization claims a legal right to the registration of the domain they seek to acquire. If representing another party, the buyer guarantees they are authorized to make this representation.7. Transaction Completion
Unless otherwise communicated by DomainAgents, all transactions initiated using DomainAgents will be completed via Escrow.com. 8. Consequences for Buyer's Reneging
In the event a buyer reneges on a purchase agreement, full transaction details, including buyer identity, will be disclosed to the seller and may be made public. The buyer will be responsible for the full 10% transactional fees due to DomainAgents. 9. Penalties for Seller's Reneging
Should the seller renege on an agreement, they will be liable for a penalty fee equivalent to 10% of the agreed transaction value, payable to DomainAgents, and any additional damages incurred by the buyer due to the reneging. 10. Circumvention and Legal Action
Any attempt to circumvent these terms may result in legal action, forfeiture of DomainAgents credits, and account suspension. 11. Disclaimer
DomainAgents acts as an intermediary and cannot be held responsible for the actions of either party beyond the services provided. 12. Modification of Terms
DomainAgents reserves the right to modify these terms and conditions at any time, with changes becoming effective upon posting on the DomainAgents website. 13. Governing Law
These terms and conditions shall be governed by and construed in accordance with the laws of Ontario, Canada where DomainAgents is registered. - Updated: 2024-01-29
